§ 1. General provisions

These terms govern the use of the Panel Biznesu platform available at addresses owned by the provider. The provider is the operator of the "Panel Biznesu" brand, running unregistered business activity in Poland, e-mail: kontakt@panelbiznesu.pl. The provider's full details (name, address) are available on request at the e-mail above and will be added to these terms before commercial sales begin.

The provider runs unregistered business activity and holds no Polish tax (NIP) or statistical (REGON) number, as the law does not require them at this stage. Once the unregistered-activity threshold is exceeded, the registration details will be added.

§ 2. Definitions

  • Platform: the Panel Biznesu software provided as SaaS.
  • Client: a sole trader or legal entity entering into an agreement with the provider.
  • Consumer: a natural person entering into an agreement for purposes unrelated to business activity.
  • Tenant: a platform instance launched for a Client.
  • Plan: the chosen feature package (Start / Business / Pro).

§ 3. Agreement and billing

  1. The agreement is concluded when the provider activates the tenant.
  2. The first invoice includes a one-off setup fee (environment configuration, onboarding training, domain registration or connection for the first year).
  3. The subscription fee is charged in advance, monthly, via Stripe.
  4. The Client receives a bill for the services (a personal bill under unregistered activity). After business registration, an invoice.
  5. Prices in the pricing list are gross; unregistered activity is exempt from VAT up to the statutory threshold.

§ 4. Termination

The agreement is concluded for an indefinite period. The Client may terminate it at any time, effective at the end of the current billing period, by sending a statement to kontakt@panelbiznesu.pl. After termination the Client receives a CSV export of their data within 30 days, after which the data is permanently deleted.

§ 5. Liability

The provider ensures platform availability of 99.5% per month (Cloudflare SLA). The provider's liability is limited to the monthly fee for the month in which the outage occurred. The provider is not liable for the Client's loss of profit.

§ 6. Personal data protection

The detailed rules for processing personal data are set out in the privacy policy. With every Client using the CRM features, the provider concludes a data processing agreement (GDPR, art. 28).

§ 7. Final provisions

Matters not covered by these terms are governed by Polish law. The competent court is the court for the provider's seat, unless the Client is a Consumer, in which case the general rules for determining jurisdiction apply.
